When clients onboard with Deel PEO, there may be some action required on their part to ensure that their tax accounts are registered for, or closed, in order to file and pay their payroll taxes and to avoid receiving tax notices from various agencies.
This article guides clients on how they can handle their payroll tax accounts when they enter into a PEO leasing agreement with Deel PEO.

Federal/IRS Payroll Tax Maintenance
Once your company transitions into the Deel PEO relationship, federal tax responsibilities are divided between the client and Deel PEO.

Before your first payroll with Deel PEO, clients must complete the following actions to close out prior federal accounts:

File Final Forms 941 and 940
File your Quarterly Federal Tax Return (Form 941) and Annual Federal Unemployment (FUTA) Tax Return (Form 940), ensuring both are marked as “Final.”

Submit a PEO Letter to the IRS
Notify the IRS that your federal payroll tax responsibilities are transferring to Deel PEO. Your letter should include:Company name and address
Company FEIN
Reason for account closure
Date of your final payroll (before your first payroll with Deel PEO)

Clients remain responsible for all federal and state-level environmental taxes required under applicable health and safety codes. These are not managed by Deel PEO.
[ACCORDION] Deel PEO Responsibilities
Once your account is active under Deel PEO, Deel assumes responsibility for all federal payroll tax filings and deposits, including:
Federal Income Tax Withholding - Deel PEO withholds and remits employee income tax to the IRS under the PEO’s EIN.
Social Security (OASDI/FICA) and Medicare Taxes - Deel PEO calculates, withholds the employee portion, and pays the employer portion.
Federal Unemployment Tax (FUTA) - Deel PEO files and remits FUTA based on employee taxable wages.
Form 941 (Quarterly) – Filed by Deel PEO on behalf of the client for all payroll processed through Deel.
Form 940 (Annual) - Filed annually by Deel PEO for FUTA reporting.
W-2 Generation - Deel PEO generates W-2s for all employees annually. Clients must ensure all state tax IDs are provided and prior accounts are closed to enable accurate filings.

Non-Payroll Related Taxes
Non-payroll related taxes arise from your company’s business operations, industry activities, or entity structure, not from payroll.
Deel PEO manages only payroll-related employment taxes; all business activity, entity-level, or industry-specific taxes must be assessed, filed, and paid directly by the client with the appropriate tax authorities.
[ACCORDION] Client Responsibilities
Clients are responsible for managing the following types of non-payroll taxes and related filings:

Sales Tax
Sales tax applies to the sale of goods or services your business provides.
Deel PEO does not collect, report, or remit sales tax on behalf of clients. Clients must register, collect, and remit sales taxes in all applicable jurisdictions.

Use Tax
If your business purchases goods or services without paying sales tax, you may need to self-assess and remit use tax.
Clients are responsible for identifying qualifying purchases and submitting use tax to the appropriate authorities.

Excise Tax
Excise taxes apply to specific industries or regulated activities (such as alcohol, fuel, or tobacco).
These taxes are not employment-related and remain the client’s responsibility.

Franchise Tax / Annual Entity Fee
Each legal entity must pay its own franchise or annual entity-level taxes.
Deel PEO does not manage or remit these fees.

Business Privilege or Gross Receipts Taxes
Some jurisdictions impose taxes on business revenue or activity, such as healthcare facility taxes, insurance premium taxes, or tourism fees.
Clients are responsible for reviewing and managing any applicable obligations.

Industry-Specific Surcharges
Certain industries may be subject to surcharges or assessments (e.g., environmental, transportation, or regulatory fees).
These are handled directly by the client.

Foreign Qualification (when required)
In some states, clients may need to obtain a Foreign Qualification to complete SUTA/SUI registration, especially if the company has no owners or officers with a U.S. SSN or ITIN.
Obtaining this qualification is a client's responsibility.

This is a client responsibility in addition to providing Deel with the Tax IDs and SUI rate for the state. Once complete and uploaded, Deel will remit the forms to the Agency.

To enable Deel PEO to file and pay California state taxes on your behalf and administer Unemployment Benefit Claims, clients must complete the Unemployment Insurance (UI) Power of Attorney (POA) process.
Before Deel can begin managing your California payroll tax filings, you must:
Complete the UI Power of Attorney forms within the Deel platform.
These forms authorize Deel PEO to interact with the California Employment Development Department (EDD) on your behalf for tax and unemployment matters.Provide your California EDD Account ID and SUI tax rate.
Deel uses this information to accurately calculate and remit your state-level payroll taxes.Upload the completed POA forms to the Deel platform. Once the completed POA forms are submitted to the Deel platform, Deel will review and remit the forms directly to the California EDD to finalize authorization.
